QUICARD LLC TERMS OF SERVICE

SUMMARY OF KEY TERMS (READ THIS FIRST)

    To save your time, here are the most critical points of these Terms:

    1. NO SUBSCRIPTIONS. You pay only for what you deliberately confirm and save, with precision down to a single flashcard. Blank Cards are utilized only at final “Save” after the mandatory "Refining" step. Blank Cards are sold in packs, and there are no recurring fees.

    2. REUSE & FAIR VALUE. We believe in fair usage. Every Blank Card you own includes an “Eraser” function. You can manually erase a card’s content and refill it with a new word for free. This allows you to keep using your initial bonus Blank Cards at no additional cost, especially if you prefer a compact library.

    3. DELIBERATE USAGE. Buying Blank Cards and using them are two different things. Purchases are handled by Apple. To ensure you don't use your Blank Cards accidentally, we built a mandatory "Refining" step. Tapping "Save" is your deliberate choice to fill a card.

    4. NO ACCOUNT REQUIRED (ASSUMPTION OF RISK). You can use Quicard LLC without an account. Certain optional features (such as cloud sync, cross-device restore, or backup/restore functionality) may require an account. If you use the Service without an account, you expressly assume the risk of data loss. If you lose your phone or delete the app, your content is lost forever. This is a privacy feature, not a defect.

    5. POWERFUL OFFLINE CORE. Quicard LLC is built on a "local-first" foundation. The dictionary, scanning, generation, quizzes, and study tools are designed to work fully offline and do not require an internet connection to function. Internet access is required only for optional cloud features (such as cloud sync, cross-device restore, or backup/restore functionality), sponsor links, and downloading updates (including dictionary database updates). The dictionary and your content live directly on your device, not on a rented server. You retain ownership of the content you create (your flashcards and collections): they are always with you, always fast, and usable offline.

    6. NOT FOR HIGH-STAKES USE. The generated translations and definitions are for general educational purposes only. Do not rely on them for medical, legal, technical, safety-critical, or professional decisions where accuracy is essential.

    These Terms of Service (“Terms”) govern your access to and use of the Quicard iOS application and related services, features, content, and functionality (collectively, the “Service”), operated by Quicard LLC (“Quicard LLC,” “we,” “us,” “our”). By downloading, installing, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

IMPORTANT NOTICE: The Service is a learning tool and provides educational and informational materials. The Service is not guaranteed to be accurate, complete, or suitable for any high-stakes or sensitive use. Please read Sections 1, 2, 9, 19, and 20 carefully.

0) Definitions and interpretation

    For clarity, the following definitions apply:

    ● “Service” means the Quicard iOS application, any associated features (including scanning, generation, dictionary search, organizer, study modes), and any related services we provide.
    ● “User Content” means content you create, input, upload, or otherwise provide in the Service, including flashcards, collection names, notes, and any text you scan or import.
    ● “Digital Items” means any digital products, features, virtual items, or entitlements offered in the Service, including Blank Cards, packs, decks, or similar items.
    ● “Blank Cards” means virtual empty flashcards (slots) purchased or earned within the Service that can be filled with content to create usable flashcards.
    ● “Apple” means Apple Inc. and its subsidiaries, including the App Store.
    ● “Consumer” means a user who uses the Service for personal, non-commercial purposes and is protected by applicable consumer laws.

    Headings are for convenience only and do not affect interpretation. “Including” means “including without limitation.”

1) The Service is a tool (not a promise of perfect content)

    Quicard LLC is an iOS flashcards application designed to help you create, organize, and study vocabulary and other learning materials. The Service is primarily a tool: it provides workflows and features (collections, studying modes, scanning, generation, search, organization, and related functionality) that help you build and practice your own learning sets. Core workflows (including the dictionary, scanning, generation, quizzes, and study tools) are designed to function offline and do not require a persistent internet connection, except for optional cloud features and downloading updates (including dictionary database updates).

    To support the tool’s functionality, the Service features the Quicard Dictionary, a proprietary database designed for unique quality and mobile accessibility. While we strive for high quality and extensive coverage, this dictionary is an independent educational resource and is not an officially certified academic or professional reference. These supporting materials are actively maintained but are not guaranteed to be error-free. We do not guarantee exhaustive coverage of all possible words, topics, pronunciations, examples, metadata, or levels.

    The Service is provided for general educational and informational purposes only. It is not a medical device and does not provide medical, mental health, legal, safety, financial, or other professional advice.

2) High-stakes and sensitive-use warning

    You agree not to rely on the Service in situations where errors, omissions, interruptions, inaccurate content, or loss of data could reasonably be expected to result in harm, injury, illness, death, legal exposure, regulatory exposure, or significant loss. This includes, for example:

    ● medical decisions, diagnosis, treatment, or emergencies;
    ● mental health crisis situations;
    ● legal compliance or regulatory decisions;
    ● safety-critical activities (driving, machinery, hazardous environments); and
    ● high-stakes examinations, licensing, or certification decisions.

    You are solely responsible for how you use the Service and for decisions you make based on it. If you need professional help, consult a qualified professional.

3) Eligibility and suitability

    The Service is generally intended for users 13+, unless local law requires a higher age to consent to online services. If you are under the age of consent where you live, a parent or legal guardian must provide any required permission and supervise your use.

    Language content notice: dictionary-style materials and user-entered content may include words, examples, or definitions that some users consider offensive or inappropriate for minors. Quicard LLC does not guarantee that content will be filtered for age suitability.

4) Accounts (optional), security, and account management

    You may use Quicard LLC without creating an account. Certain features (such as cloud sync, cross-device restore, or backup/restore functionality) may require an account.

    If you create an account, you are responsible for:
    ● maintaining the confidentiality of your credentials;
    ● all activity under your account; and
    ● promptly notifying us of suspected unauthorized access at team@quicard.app.

    We may apply reasonable limits (including storage limits, rate limits, usage caps, or other technical restrictions) to protect the Service, users, and our systems.

4.1 Account deletion and access requests
    Where available, you may be able to delete your account from within the Service. If in-app deletion is not available in your region or build, you may request account deletion by contacting team@quicard.app.

    When you request deletion, we will make reasonable efforts to delete your account and associated personal data and/or User Content from active systems within a reasonable time, subject to:
    ● technical constraints (for example, deletion queues, system limitations, or dependency on third-party infrastructure),
    ● legal requirements (for example, recordkeeping, tax/accounting obligations, lawful requests, or dispute preservation),
    ● security, fraud prevention, and abuse investigations, and
    ● backup retention and operational logs (see Section 8.2 and Section 11).

    If you are a Consumer, you may have additional rights regarding access, correction, or deletion of your data under applicable law. Please see the Privacy Policy.

5) Purchases, blank cards, and digital items (no subscriptions)

5.1 No subscriptions
    Quicard LLC does not offer recurring subscriptions.

5.2 One-time purchases and Blank Cards
    The Service may offer one-time in-app purchases (for example, packs of Blank Cards) and may use virtual Blank Cards to enable certain functionality (for example, “1 Blank Card = 1 filled flashcard slot” in applicable flows). This model is designed so that you pay only for the exact number of flashcard slots you choose to create and use, down to a single card: Blank Cards are utilized only when you confirm saving content, and you do not pay for cards you do not need or do not use.

5.3 Blank Cards and digital items terms
    Blank Cards and Digital Items:
    ● have no cash value, are not legal tender, and are not redeemable for money;
    ● are non-transferable and may not be sold, gifted, sublicensed, assigned, or exchanged outside the Service;
    ● may be modified, rebalanced, limited, suspended, or discontinued at any time (including changing how many Blank Cards are required for a feature), to the maximum extent permitted by law;
    ● may be adjusted, revoked, or withheld in cases of suspected fraud, abuse, chargebacks, attempted circumvention of purchases, violations of these Terms, or to comply with law; and
    ● are non-refundable except where required by law or platform policy.

    If the Service provides promotional, bonus, or “earned” Blank Cards through in-app activities (such as quiz performance), those are promotional:
    ● they may change at any time,
    ● they may be limited in quantity, eligibility, or availability,
    ● they may be discontinued at any time, and
    ● to the extent permitted by law, they may expire or be forfeited (for example, upon account termination for abuse, fraud, or chargebacks), as determined by the Service’s rules at the time.

5.3.1 Promotional and “Earned” Blank Cards (A5)
    Purchased Blank Cards do not expire. Similarly, any Blank Cards earned through "Quiz" performance or other promotional activities do not expire as long as the account is active. The ability to use Blank Cards depends on the availability of the Service and the platform (including the App Store and iOS). Regarding earned Blank Cards:
    ● They are considered "bonus entitlements" but do not have an expiration date.
    ● Are non-transferable and are forfeited upon account deletion, or in cases of abuse, fraud, or chargebacks, and to the extent permitted by law, may become unavailable upon permanent discontinuation of the Service.

5.4 When Blank Cards are used (utilization rule)
    If a feature requires a Blank Card, it is utilized at the point the Service confirms the action has been completed, such as:
    ● when you confirm saving selected flashcards to a collection from a scanning or generation flow; or
    ● when you confirm creating paid content in a flow that requires Blank Cards.

    Previewing, scanning, generating candidate lists, filtering, sorting, and refining selections (such as removing words you do not want) may be available without utilizing Blank Cards, unless the Service clearly indicates otherwise.

    Eraser Function (“Lastic”) clarification: If a flashcard “slot” has already been created using a Blank Card, manually erasing its contents and refilling it with a new word (including via manual entry) does not require an additional Blank Card. In other words, you pay once for a flashcard slot, and you may edit or replace its contents within that slot without additional usage, unless the Service clearly indicates otherwise.

    You are responsible for reviewing your selection before confirming usage. Quicard LLC provides tools to refine your selection to avoid accidental usage.

5.4.1 Mandatory Review and Refining Stage (A1)
    The Service includes a mandatory "Refining" (Intermediary) screen for both Scanning and "Generation" functions. You acknowledge and agree that:
    ● The Service presents all prepared flashcard drafts for your review before any Blank Cards are utilized.
    ● The Refining stage is mandatory in the applicable flows and is designed to be reviewed before you confirm usage.
    ● By tapping the “Save” button (or any equivalent final confirmation), you explicitly confirm that you have reviewed, edited, or deselected the content and are satisfied with its accuracy, relevance, and quality.
    ● Final Confirmation of Usage: The actual "purchase" (transaction of money) occurs when you buy a Pack of Blank Cards from the App Store. The "Refining" screen is the point where you decide to utilize your previously purchased inventory. By tapping “Save”, you instruct the Service to consume the selected number of Blank Cards from your balance. This action is final for the purpose of inventory consumption.

5.5 Delivery of digital items and “fulfilled” purchases
    Digital Items and Blank Card Packs are considered delivered and fulfilled when the Service successfully grants the entitlement (adds the Blank Cards to your in-app balance) following a successful App Store transaction.

    Technical Failure Exception: If a verifiable technical error (such as an app crash) occurs exactly at the moment of saving, resulting in Blank Card usage without the content being saved to your Collection, Quicard LLC’s sole liability and your sole remedy is the restoration of the utilized Blank Card to your in-app balance. You agree that such technical errors do not constitute a failure of the monetary purchase transaction, and refunds should be sought only if restoration is impossible.

    Once delivered, Digital Items and Blank Card-enabled outputs are generally not reversible, except where required by law or platform policy.

5.6 Billing and refunds (Apple)
    Purchases are processed by Apple through the App Store. Refund eligibility and processing are governed by Apple’s policies and procedures. Quicard LLC cannot override Apple’s refund decisions and cannot directly issue refunds for App Store purchases.

5.7 Restore purchases
    Where applicable, you may be able to restore eligible purchases using the “Restore Purchases” functionality provided by Apple and/or within the Service. Restoring purchases may depend on:
    ● your Apple ID and App Store purchase history,
    ● Apple’s systems and policies,
    ● device settings, restrictions, or Family Sharing configuration, and
    ● availability of the purchased Digital Items.

    Quicard LLC does not guarantee that Apple will restore purchases in all circumstances (for example, if Apple removes an item, a purchase is not associated with your Apple ID, restrictions are enabled, or Apple systems are unavailable).

5.8 Price and availability
    Prices and availability of Digital Items may vary by region and may change at any time. Regional pricing may be based on your App Store region, device settings, IP-based approximate location, or other region indicators, subject to the Privacy Policy.

    Quicard LLC may use Apple’s regional pricing tiers and comparable mechanisms to offer more accessible pricing in developing markets where available (for example, pricing equivalent to approximately 0.99 in a local currency, subject to Apple’s pricing rules, taxes, and platform availability).

6) Sponsored content and external links

    The Service may display sponsored content, including a static sponsor image that links to a third-party website. Sponsored content is provided for marketing purposes.

6.1 Regional targeting and sponsor variations
    Sponsored content may vary by country or region. Sponsored content may change at any time, may be replaced, removed, or rotated, and may not be available in all regions.

6.2 External links and third-party risk
    Third-party websites and services are not under our control. We are not responsible for third-party content, availability, security, legality, or privacy practices, and you access them at your own risk. You should review the terms and privacy policies of any third-party website you visit.

    Quicard LLC does not guarantee the safety, suitability, or availability of any external link or sponsor destination, and we are not responsible for losses or damages arising from your interaction with third-party websites.

6.3 Ad Placement and User Experience Interaction (A6)
    The Service displays a static sponsor image (Ad) at the top of the Dashboard.
    Sponsor Curation: While Quicard LLC makes reasonable efforts to select reputable sponsors relevant to our users, we cannot monitor the real-time content, security, or data practices of the sponsor’s destination URL, nor can we guarantee that a third-party website will not change its content after our review.
    The absence of typical Ad-navigation elements (such as "X" or "dismiss" buttons) is a deliberate design choice to maintain a clean interface and does not constitute a technical error or service interruption.

7) Regional variations

    Features, sponsor placements, pricing, Digital Item availability, data retention behavior, and other Service elements may vary by country or region and may change over time.

8) Your content (flashcards you create)

    You retain ownership of content you create or input into the Service (“User Content”).

8.1 Your responsibility and prohibited User Content
    You are solely responsible for your User Content, including ensuring you have the right to use it and that it does not violate laws or third-party rights.
    You agree not to create, upload, scan, import, or otherwise provide User Content that:
    ● infringes copyright, trademark, or other intellectual property rights;
    ● violates privacy or publicity rights (including personal data of others without lawful basis or required consent);
    ● is unlawful, defamatory, harassing, hateful, or abusive;
    ● includes malware, harmful code, or attempts to compromise systems; or
    ● violates these Terms or applicable law.

8.2 License to operate and improve the Service
    To provide and operate the Service (including saving, syncing where enabled, backing up, restoring, displaying content, and operating features such as organizer views and study modes), you grant Quicard LLC a worldwide, royalty-free, non-exclusive license to host, store, reproduce, transmit, process, and display your User Content only as necessary to operate, maintain, troubleshoot, and improve the Service.

    This license continues until your User Content is deleted from our active systems, except that residual copies may remain in:
    ● backups (which may have a limited retention period),
    ● logs and archives (for security, legal compliance, fraud prevention, and technical operations), and
    ● caches or transient technical storage,
    for reasonable periods consistent with our operational needs and applicable law.

8.3 Right to remove or restrict User Content
    Quicard LLC does not generally pre-screen User Content, but we reserve the right to remove, restrict access to, or disable User Content (and/or suspend accounts) if we reasonably believe it:
    ● violates these Terms,
    ● violates law or third-party rights,
    ● creates security, privacy, fraud, or operational risk,
    ● is subject to a credible legal complaint (including intellectual property complaints), or
    ● is otherwise necessary to protect the Service, users, or third parties.

8.4 Reasonable efforts; no guarantee against loss
    We use reasonable care and standard industry practices to help protect and preserve User Content, including when syncing is enabled. However, no system is completely immune to outages, software bugs, device issues, accidental deletion, user error, or third-party failures.

    If cloud sync or cross-device restore is enabled, you are responsible for maintaining a stable internet connection and appropriate device/network settings to support synchronization. Quicard LLC is not responsible for loss, corruption, or sync conflicts caused by interrupted connectivity, weak signal, network throttling, airplane mode, device restrictions, or other connectivity issues on your side.

    You acknowledge that data loss, corruption, or sync conflicts can occur. You are responsible for maintaining your own backups where appropriate. To the maximum extent permitted by law, Quicard LLC is not liable for loss of or inability to access User Content.

    NO-ACCOUNT MODE WARNING & ASSUMPTION OF RISK: If you use the Service without creating an account, your purchased Flashcards and User Content are stored locally on your device only. Quicard LLC has no access to this data. You acknowledge that this "Local-First" architecture is a feature for privacy, not a design defect. You expressly assume the risk that if you delete the app, reset your device, or lose your phone, your paid content will be IRREVERSIBLY LOST. We cannot restore local data and do not offer refunds for loss due to device/app management.

9) Scanning, generation, dictionary data, automated features, and lawful use

9.1 Device permissions and lawful use
    Certain features may require access to device capabilities (such as the camera) to scan text and create flashcards. You are responsible for complying with applicable laws when scanning materials, including privacy, copyright, and local recording/consent rules.

9.2 Copyright, anti-circumvention, and acceptable scanning rules
    You agree that you will not use the Service to scan, copy, extract, reproduce, or redistribute content in ways that violate copyright or other intellectual property rights.
    Without limiting the foregoing:
    ● Do not scan entire books, paywalled materials, DRM-protected materials, or other copyrighted works for the purpose of copying, rebuilding, distributing, or substituting for the original work, unless you have permission or a clear legal right to do so.
    ● You may not use the Service to circumvent paywalls, DRM, access controls, or technological protection measures.
    ● Limited excerpts for personal study may be permitted in some jurisdictions (e.g., fair use/fair dealing), but you are responsible for determining what is lawful where you live.
    ● If you scan content that includes personal data about other people, you represent that you have the right and any required consent to capture and process that data and that doing so complies with applicable privacy laws.

    Quicard LLC does not provide legal advice about copyright, privacy, fair use, fair dealing, or consent requirements.

    Transformative Use & Data Extraction: You acknowledge that when you use the Scanning feature, the processing occurs entirely on your device to extract individual vocabulary items. This process transforms the input text into isolated dictionary entries (words, definitions, examples from the Proprietary Database). This resulting data constitutes your personal study material and/or Quicard LLC’s proprietary data, distinct from the original scanned source work.

9.3 Dictionary database is evolving
    The Service may provide dictionary-style entries, proficiency levels (A1–C2), recommendations, pronunciations, examples, synonyms/antonyms, metadata (including “added” dates), and automated suggestions based on a vocabulary database.

    This vocabulary/dictionary database is actively developing and may be incomplete. It may contain errors, inconsistencies, omissions, or changing editorial decisions. Definitions, examples, synonyms/antonyms, levels, pronunciations, metadata, and other outputs may be inaccurate, inconsistent, incomplete, or outdated.

    You acknowledge and agree that these materials are provided for convenience and educational use only. Quicard LLC does not guarantee the accuracy, completeness, availability, or suitability of dictionary data or generated outputs for any particular purpose, and you are responsible for reviewing and verifying information before relying on it.

    Active Improvement: Quicard LLC continuously monitors, corrects, and improves the dictionary database. However, we do not guarantee the correctness of any specific data point at any specific time, nor do we warrant that updates will be available in real-time.

9.3.1 Nature of the Offline Database (Static Snapshot) (A2)
    The Service utilizes a pre-loaded, offline vocabulary database to ensure functionality without a persistent internet connection.
    This database is a static snapshot of linguistic data at the time of the specific app version’s release.
    Quicard LLC updates definitions, phonetics, or usage examples periodically via app updates, but is under no obligation to reflect changing linguistic trends in real-time.
    Downloading such updates requires an internet connection.
    Discrepancies between the Quicard LLC offline database and third-party dictionaries or external online sources do not constitute a defect in the Service.

9.3.2 Algorithmic Retrieval and "Generation" Disclaimer (A3)
    The "Generation" function and Widget recommendations are powered by algorithmic sorting and pre-defined topic rules over the Quicard LLC offline vocabulary database.
    You acknowledge that these automated lists are generated via algorithmic retrieval and may occasionally include words or phrases that you deem irrelevant to your specific context or the selected Core Topic.
    The Alphabet Indicator and Wheel Picker are navigational aids designed to filter the existing database and do not guarantee the presence of any specific terminology or exhaustive coverage of a topic.

9.3.3 Widget and Algorithmic Recommendations (Content Warning) (A7)
    The Service includes features (such as the iOS Widget or "Suggested Words") that automatically retrieve vocabulary from the Proprietary Database based on metadata associated with your previous activity or random sampling.

    Nature of Recommendations: These suggestions are generated by non-human algorithms. While we make reasonable efforts to exclude highly sensitive or inappropriate terms from automated feeds, the Proprietary Database is a comprehensive linguistic record that may contain:
        • Profanity, slang, or adult terminology;
        • Medical, anatomical, or biological terms;
        • Words that may be considered offensive in certain cultural or religious contexts.

    Disclaimer: You acknowledge that the appearance of any specific word in the Widget or recommendations does not constitute an editorial endorsement or a targeted communication by Quicard LLC. We explicitly disclaim liability for any offense, shock, or distress caused by the automated display of dictionary entries.

10) Intellectual property complaints (DMCA and similar processes)

    We respect intellectual property rights. If you believe that content within the Service infringes your copyright or other IP rights, you may contact us at team@quicard.app with sufficient detail to investigate.

    If your notice is intended as a DMCA takedown request (U.S. law), include:     ● identification of the copyrighted work claimed to be infringed;
    ● identification of the allegedly infringing material and enough information to locate it;
    ● your contact information;
    ● a statement that you have a good-faith belief the use is not authorized;
    ● a statement, under penalty of perjury, that the information is accurate and you are the owner or authorized to act; and
    ● your physical or electronic signature.

    We may remove or restrict access to material in appropriate circumstances and may terminate accounts of repeat infringers where required or appropriate.

11) History, retention, and “forever” language clarification

    The Service may store certain history (such as scanned sessions or dictionary search history) to improve usability. Where available, you can delete this information within the Service.

    While we aim to preserve data, we do not guarantee indefinite retention and may delete or limit stored data for security, legal compliance, fraud prevention, technical operations, storage limitations, or reasonable service management.

    Clarification regarding “forever” wording: If the Service UI, help text, or product descriptions refer to storage “forever,” that means “until you delete it” and “as long as we can reasonably provide the storage,” subject to technical constraints, account status, legal obligations, and the retention limitations described in these Terms and the Privacy Policy.

12) Sharing and export

    If the Service allows you to share or export content (for example, using iOS sharing tools), you are responsible for what you share and for ensuring you have the rights to distribute it.

    Exported or shared content may become public or may be copied, re-shared, or used by third parties. Quicard LLC cannot control and is not responsible for third-party platforms, recipients, or services where you choose to share content.

13) Business, school, and organizational use

    The Service is intended for individual consumer use. Quicard LLC does not provide enterprise, school, or organizational accounts, admin controls, or institutional compliance features unless agreed in writing under separate terms.

    If you use the Service in an educational or workplace setting, you do so as an individual user and not on behalf of an organization, unless Quicard LLC has agreed in writing to separate terms for such use. Accounts (if used) are for a single person and may not be shared by a class, team, or organization.

14) Prohibited use

    You agree not to:
    ● reverse engineer, decompile, disassemble, or attempt to derive source code except where permitted by law;
    ● bypass or attempt to bypass security, access controls, paywalls, technological protection measures, or usage limits;
    ● scrape, spider, crawl, or automate extraction of content or functionality;
    ● interfere with the Service (including malware, harmful code, abusive traffic, denial-of-service attempts, or other disruptive behavior);
    ● use the Service for unlawful purposes or to violate third-party rights; or
    ● attempt to obtain unauthorized access to any systems or data.

    We may suspend, limit, or terminate access if we reasonably believe you violated these Terms or created risk or harm.

15) Quicard intellectual property and license grant

    The Service (software, design, user interface, branding, trademarks, logos, and related assets) is owned by Quicard LLC or its licensors and is protected by law.

    Subject to your compliance with these Terms, you receive a personal, limited, non-exclusive, non-transferable, revocable license to use the Service as intended for personal, non-commercial purposes.

    You may not copy, sell, redistribute, publicly perform, publicly display, sublicense, assign, or commercially exploit any part of the Service unless permitted in writing.

15.1 Proprietary UI/UX Design and Navigation (A4)
    The Service features a unique "One-Handed Navigation" architecture protected as the intellectual property of Quicard LLC, including but not limited to:
    ● The specific "pull-up" gesture mechanics for collection creation.
    ● The dual-sided "hamburger" menu system for ambidextrous use.
    To the extent permitted by law, you agree not to copy, reproduce, or commercially use Quicard LLC’s distinctive user interface, screen layouts, branding elements, or the overall look and feel of the Service in competing products or services. This restriction does not prohibit independent development of similar functionality that does not copy Quicard LLC’s protected assets or trade dress. These mechanics constitute the protected Trade Dress of Quicard LLC.

16) Support and feedback

    If you provide feedback, suggestions, or ideas, you grant Quicard LLC the right to use them without restriction or compensation, and you acknowledge we may implement similar ideas without obligation to you.

17) Service changes, availability, third-party dependencies, and sync conflicts

    We may modify, add, suspend, or discontinue features or the Service at any time. The Service may be unavailable or interrupted. We do not guarantee uninterrupted operation or that any feature will remain available.

17.1 Third-party services
    The Service may depend on third-party services (including Apple systems, hosting providers, analytics providers, speech or pronunciation technologies, and other infrastructure). Quicard LLC is not responsible for outages, interruptions, delays, or failures caused by third-party services, except to the extent required by law.

17.2 Cloud sync and conflicts (where enabled)
    If cloud sync or cross-device restore is enabled, synchronization may be delayed, interrupted, or may experience conflicts due to network conditions, device state, concurrent edits, or third-party service behavior.

    When conflicts occur, the Service may apply automated resolution rules (for example, “most recent change wins,” merging, or other conflict strategies) depending on the feature and context. You acknowledge that conflict resolution may result in loss of some changes. You are responsible for reviewing your content, and you should maintain backups where appropriate.

17.3 Suspension and termination for operational reasons
    We may suspend, limit, or terminate access to the Service at any time to protect the Service, comply with law, enforce these Terms, prevent abuse, or address security and operational risks.

18) No guarantee of learning outcomes or content coverage

    Learning outcomes vary. We do not guarantee results such as fluency, grades, test scores, or exam performance.

    We also do not guarantee the availability, coverage, or completeness of any specific words, topics, pronunciations, examples, dictionary entries, recommendations, or levels.

19) Disclaimer of warranties

    To the maximum extent permitted by law, the Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, completeness, reliability, availability, and non-infringement.

    Without limiting the foregoing:
    ● Quicard LLC does not warrant that the Service will be uninterrupted, secure, or error-free;
    ● Quicard LLC does not warrant that dictionary-style materials, levels, pronunciations, recommendations, or generated outputs will be accurate, complete, or suitable for any purpose;
    ● Quicard LLC does not warrant that User Content will never be lost or corrupted; and
    ● Quicard LLC does not warrant that the Service is suitable or reliable for any high-stakes or sensitive use.

    Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you. In such cases, disclaimers apply to the maximum extent permitted by law.

20) Limitation of liability

    To the maximum extent permitted by law, Quicard LLC (and its affiliates, officers, employees, agents, suppliers, and licensors) will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business interruption arising out of or related to the Service, even if Quicard LLC has been advised of the possibility of such damages.

    This limitation includes, without limitation, any liability arising from:
    ● errors or inaccuracies in dictionary materials, levels, pronunciations, or generated outputs;
    ● your use of external sponsor links or third-party websites;
    ● third-party services or infrastructure failures (including Apple systems);
    ● sync delays, conflicts, or data loss; and
    ● unauthorized access, hacking, or security incidents not caused by Quicard LLC’s willful misconduct.

    If Quicard LLC is found liable for any claim, Quicard LLC’s total liability will not exceed the amount you paid to Quicard LLC for the Service in the 12 months before the event giving rise to the claim (or the minimum amount required by law if higher).

    Additional cap for free users: If you have not paid Quicard LLC for any Digital Items in the 12 months before the event giving rise to the claim, Quicard LLC’s total liability will not exceed USD $10 (or the minimum amount required by law if higher).

    Consumer rights: Nothing in these Terms limits consumer rights that cannot be waived under applicable law.

21) Indemnification

    You agree to defend, indemnify, and hold harmless Quicard LLC from claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:
    ● your use of the Service;
    ● your User Content;
    ● your scanning activities;
    ● your sharing or export activities; or
    ● your violation of these Terms or applicable law.

22) Force majeure (events outside our control)

    Quicard LLC will not be liable for any delay, failure in performance, or unavailability of the Service caused by events outside our reasonable control, including failures of networks or hosting providers, outages of third-party services, power or internet interruptions, labor disputes, natural disasters, acts of government, war, terrorism, civil disturbances, or other force majeure events.

23) Disputes, governing law, and venue (startup version)

23.1 Informal resolution first (required)
    Before starting a court proceeding, you agree to contact us at team@quicard.app and describe the issue and the resolution you’re seeking. The parties will attempt to resolve the dispute informally for at least 30 days after notice is received, unless a shorter period is required by applicable law.

    To the extent permitted by law, completing the informal resolution process described above is a prerequisite to filing a claim.

23.2 Governing law
    These Terms are governed by the laws of the State of Iowa, USA, excluding conflict-of-law principles, except to the extent your local consumer protection laws require otherwise.

23.3 Venue
    If a dispute is not resolved informally and must be brought in court, you agree that it will be brought in the state or federal courts located in Iowa, USA, unless applicable law (including consumer protection law) requires a different venue.

    If you are a Consumer and your local law requires that you be able to bring claims in your country or region of residence (for example, certain EEA/UK consumer protections), then you may bring claims in the required venue to the extent mandated by law.

23.4 Small claims
    Either party may bring eligible claims in small claims court, where permitted, provided the claim remains an individual claim.

23.5 Time limit to bring claims (one-year limitation)
    To the extent permitted by applicable law, any claim arising out of or relating to the Service or these Terms must be brought within one (1) year after the claim arises. If applicable law requires a longer period, the longer period will apply.

23.6 Jury trial waiver (where permitted)
    To the extent permitted by law, you and Quicard LLC waive any right to a trial by jury in any legal proceeding arising out of or relating to the Service.

23.7 Consumer rights
    Nothing in these Terms limits any consumer rights that cannot be waived under applicable law.

    CLASS ACTION WAIVER: To the extent permitted by law, you and Quicard LLC agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

24) Apple terms (iOS)

    You acknowledge that Apple is not a party to these Terms and is not responsible for the Service. The Terms are between you and Quicard LLC only, not Apple.
    To the extent permitted by law:
    ● Apple has no obligation to furnish any maintenance or support services with respect to the Service.
    ● Apple is not responsible for any claims by you or any third party relating to the Service or your possession and/or use of it, including (without limitation): product liability claims, claims that the Service fails to conform to applicable legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
    ● In the event of any third-party claim that the Service infringes that third party’s intellectual property rights, Quicard LLC (not Apple) will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

    Your use of the Service is also subject to applicable App Store terms, including Apple’s Media Services Terms and Conditions, and the Licensed Application End User License Agreement (“LAEULA”) where applicable, unless you are presented with a separate Quicard LLC end-user license in the App Store.

    Apple (and Apple’s subsidiaries) are third-party beneficiaries of these Terms and may enforce them against you.

25) Termination

    You may stop using the Service at any time.

    We may suspend or terminate access if:
    ● you violate these Terms;
    ● required by law;
    ● necessary to protect the Service, users, or third parties; or
    ● we reasonably believe your use creates security, privacy, fraud, or operational risk.

    Upon termination, your license to use the Service ends. Sections that by their nature should survive termination (including Sections 5, 8, 9, 19, 20, 21, 23, 24, and 28) will survive.

26) Changes to these Terms

    We may update these Terms from time to time. If changes are material, we will provide notice within the Service, by posting an updated “Last updated” date, or by other reasonable means (including email if you have provided one), as appropriate.

    Continued use after the effective date means you accept the updated Terms.

27) Notices and communications

    We may provide notices to you:
    ● within the Service (for example, a banner or modal notice),
    ● on our website (if any),
    ● via email (if you have provided one), or
    ● by other reasonable means.

    You are responsible for keeping your contact information up to date where applicable.

28) Legal boilerplate (assignment, severability, entire agreement, no waiver, language)

28.1 Assignment
    You may not assign or transfer these Terms or your rights and obligations under them without Quicard LLC’s prior written consent. Quicard LLC may assign these Terms (in whole or in part) without restriction in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.

28.2 Severability
    If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

28.3 Entire agreement
    These Terms and the Privacy Policy constitute the entire agreement between you and Quicard LLC regarding the Service and supersede any prior or contemporaneous agreements, communications, or understandings (whether oral or written) relating to the Service.

28.4 No waiver
    If Quicard LLC does not enforce a provision of these Terms, it does not mean Quicard LLC waives its right to do so later. Any waiver must be in writing and signed by Quicard LLC to be effective.

28.5 Language
    If we provide translations of these Terms, the English version controls to the maximum extent permitted by law, unless your local law requires otherwise.
